Senior Legal Counsel (14 Month Fixed Term Contract)
Key Responsibilities
- Leading the Australian legal team, including through the management of at least 3 direct reports.
- Providing accurate and effective advice on a wide range of company law, M&A, project finance, development, construction and operational matters relating to Cubico’s Australian assets.
- Liaising with national, regional and local authorities, project contract counterparties, joint venture partners and other relevant third parties in relation to the development, construction, management and operation of Cubico’s Australian assets.

Reviewing, negotiating and providing other legal assistance in connection with
acquisitions/disposals of renewable energy projects and joint ventures in Australia, and the project financing thereof. - Reviewing and negotiating all types of development, construction and operations contracts (e.g. DSA, EPC, TSA, BOP, supply agreements, WOM and operation and maintenance and asset management contracts) and providing advice internally on the same.
- Ensuring compliance with project financing arrangements, liaising with lenders and their legal advisers, and preparing and reviewing relevant consents, notifications and other similar documentation as necessary.
- Managing and maintaining the company books for Cubico’s Australian entities and providing accurate and effective advice on a wide range of Australian corporate and company secretarial matters.

Providing legal assistance in respect of re-organisations, restructurings, business
transfers and liquidations affecting Cubico’s Australian entities. - Working closely with the Associate General Counsel based in the UK and external counsel in relation to the above.
- Commissioning external legal advice where appropriate (e.g. specialist or overseas advice) on areas of law and transactions.
- Supporting the development of in-house expertise, both within the Legal team and across business divisions and developing internal policies, procedures and precedents.

Delivering advice in a clear and concise manner in a fast-paced environment to
Cubico’s Australia team, as well as Cubico Group functions. - Advising on new law / regulation / policy changes in Australia and how the business / documentation can best take account of this.
- Identifying and reporting any matters of a legal nature which should be drawn to other Legal team members’ attention and/or the Australian team.
- Keeping Legal team members and/or the Australian team informed of the development of legal matters concerning the Australian business.
- Attendance at various senior leadership calls with the UK.
- Global Legal team
- Associate General Counsel and Australia Country Head, and other members of the Australian business.
- Maintaining and developing positive relationships with colleagues in other functional departments such as Development, Origination and Execution, Construction, Asset Management, Finance & Tax and IAS as well as within Legal, HR & Corporate Affairs itself.
Skills, Knowledge and Expertise
- Excellent and in-depth legal experience in the renewables space (gained either in private practice or in-house (with at least some private practice experience) is essential.
- Project finance, construction and/or company law/M&A experience would be advantageous
- Solicitor / lawyer qualified in Australia.
- Extensive and relevant post qualification experience required (at least 6 PQE).
- Proactive and pragmatic with a positive attitude and can-do approach.
- Enthusiastic and able to take ownership of problems and provide commercial solutions.
- Self-starter who has the ability to manage a full and varied workload, and can prioritise and work under tight timescales.
- Develops constructive professional relationships.
- Experience of instructing and managing external counsel.
- Ability to persuade and influence internal client base in the provision of advice and manage internal client base’s expectations.
- Ability to identify and manage legal risk (even if little prior experience in the relevant area).
- Strong attention to detail and accuracy with good analytical skill.
- Excellent drafting and negotiation skills.
- Articulate and excellent communications skills both written and verbal.
- Highly reliable, collegiate and personable.
- Ability to continually review and reassess priorities in response to changing situations and deadlines at relatively short notice.
- Confident and equally able to work independently and collaboratively with internal and external stakeholders.
